A commercial mortgage that is large for one bank or credit union is sometimes shared. The FDIC's RMS Manual of Examination Policies, Section 3.2, Loans, the version marked Loans (3-2026), was opened as the PDF linked from the examination-policies page. In the loan-participations discussion it says a loan participation is a sharing or selling of ownership interests in a loan between two or more financial institutions. Normally a lead institution originates the loan and sells ownership interests to one or more participating banks when the loan is closed. The lead retains a partial interest, holds all loan documentation in its own name, services the loan, and deals directly with the customer for the benefit of all participants. Properly structured, the manual says, participations let selling banks accommodate large loan requests that would otherwise exceed lending limits, diversify risk, and improve liquidity. Participating banks can invest in large loans without the servicing burden and origination cost. If the arrangement is not documented, the manual says it can present risks to both the seller and the purchaser. This note is general information. It is not tax advice, legal advice, or an appraisal. A CPA, an attorney, or the other professional named in the note decides how the rule applies to a given property.
An institution that buys a participation is expected, the same section says, to perform the same degree of independent credit analysis as if it were the originator, and to obtain the credit file, collateral detail, lien status, and the participation agreement before it commits. Wikipedia's article on the participation loan, the target of the 'loan participation' title, adds that credit unions can participate in the same manner and that the lenders sign a participation agreement. The borrower-facing point from the FDIC text is simpler: you deal with the lead. There is one servicer. Whether a lease consent or a modification needs every participant's signature is a question in that agreement. The manual's accounting discussion says no party has the right to pledge or exchange the entire asset unless all participating interest holders agree. That is an accounting characteristic, not a promise that your lease will be slow. Ask the lead, in writing, what it can approve alone.
What this means for an Arizona borrower
You still apply once. You still get one set of documents from the lead. A change later may take longer if the lead must ask participants, and it may not. Do not budget a delay you have not been told about, and do not assume a handshake with a branch manager binds a participant you have never met. Community and regional banks are compared on community and regional banks. Credit unions are Arizona credit unions. How a credit union's structure differs from a bank's, which is a different note from this one, is credit union versus bank. The bank arrangement page is Arizona bank.
Capital Market Funds is not a bank and not a credit union. It does not buy participations and it does not make the loan the FDIC is describing. The lead institution does. We arrange the introduction. Capital Market Funds is not a Fannie Mae DUS lender.
Leave the Call Report accounting to the institutions
Much of the FDIC section is about whether the lead may treat the transfer as a sale under accounting rules, or must keep the loan on its books as a secured borrowing. That is the bank's accounting. It is not a borrower covenant you negotiate from this page. Your job is to know who services, who you call, and who must approve a change.

Questions
- If several banks participate, whom does the commercial borrower call?
- The FDIC manual says the lead holds the documents, services the loan, and deals with the customer. Start there. Ask whether a change needs the other institutions' consent.
- Why do banks participate in a large commercial real estate loan?
- The manual says a participation lets the selling bank handle a request that would otherwise exceed lending limits, and lets a buyer invest without servicing the loan. That is the examiner's statement, not a rate sheet.
- Does a participation mean Capital Market Funds is the lender?
- No. The lead financial institution makes and services the loan. We are not a bank, not a credit union, and not a participant in the loan.
- Is this the same note as the credit-union-versus-bank comparison?
- No. That note is about membership and the member-business-loan cap. This one is about several institutions sharing one commercial loan. Read both if both questions are yours.
