Commercial lenders, especially on conduit, life-company, and some agency loans, often will not lend to the operating company that also owns other assets. They want a borrowing entity whose only job is to own the property. Wikipedia's article on the special-purpose entity, opened October 28, 2026, defines that entity, also called a special-purpose vehicle, as a legal entity, usually a limited company or sometimes a limited partnership, created to fulfill narrow, specific, or temporary objectives. It says these entities are typically used to isolate the firm from financial risk. A formal definition quoted on the page calls the entity a fenced organization with limited predefined purposes and a legal personality. The page also says a company may transfer assets to the entity so a project does not put the entire firm at risk, and that in a securitization the loans are legally separated so investors have a priority claim. Those are the article's sentences. They are not your loan agreement. This note is general information. It is not tax advice, legal advice, or an appraisal. A CPA, an attorney, or the other professional named in the note decides how the rule applies to a given property.
The same article discusses tax-driven uses and the Enron scandal. This note does not recommend a tax structure and does not treat a scandal as a how-to. Ask a lawyer what your state requires. Capital Market Funds does not form the entity and does not give a non-consolidation opinion.
What the loan documents add, and who reads them
Beyond the dictionary definition, larger commercial loans often add separateness covenants: the entity keeps its own books, does not commingle cash, and does not guarantee unrelated debt. Some loans require an independent director or manager whose vote is needed before a bankruptcy filing. Some require a law firm's opinion that a court should not consolidate the entity with its parent in a bankruptcy. None of those clauses was a sentence in the Wikipedia lead that was opened. They are customary requests on CMBS and many life company loans, and sometimes on agency loans arranged with an approved lender. Your attorney says whether the draft in front of you actually contains them.
Carve-out guaranties sit next to this structure. The sponsor may still sign for fraud, bankruptcy, or other named acts even when the loan is otherwise non-recourse. That topic is non-recourse carve-outs. A full guaranty is a different document: personal guaranties. The closing stack is commercial loan documents.
What arranging the loan does not include
Capital Market Funds is not a law firm. Forming a single-purpose entity, choosing Delaware or Arizona, and opining on consolidation are legal work. We can tell you that a capital source has asked for the structure. We cannot tell you that your existing company already satisfies it. Capital Market Funds is not a Fannie Mae DUS lender. Agency loans that need an approved lender are placed with that lender.

Questions
- Does Wikipedia's special-purpose-entity article replace a separateness opinion?
- No. The article defines the entity and why firms isolate risk. A non-consolidation opinion is a law firm's letter about your facts. Order it from counsel if the lender requires it.
- Will every commercial lender require an independent director on a small Arizona loan?
- No. The request shows up more often on larger conduit and life-company loans. A bank loan to an operating company may not ask for it. Read the term sheet. Do not assume the Wikipedia article is the checklist.
- Can the borrowing entity also own a second property or a business?
- Often the lender's covenant says no. That is a contract term, not a statute this page quotes. If the entity owns anything else, tell the lender before the draft circulates.
- Do you form the single-purpose entity for the borrower?
- No. Counsel forms it. Capital Market Funds arranges the financing with the capital source. It is not your lawyer and not the lender.
