A senior lender stops at a leverage or proceeds level that its box will accept. The sponsor either brings more cash or finds another layer. That layer is not a second mortgage in every case. Mezzanine is often a loan to the property owner, secured by a pledge of equity. Preferred equity is an investment in the entity, with a priority return, and it is not a mortgage at all. The documents, the remedies, and the senior lender's consent are different.
Intercreditor terms decide whether the senior lender will allow the layer. Many life companies and CMBS shops have a form of recognition agreement. Some banks will not allow subordinate debt at all. Starting a mezzanine conversation before the senior lender has said yes is how files stall. The senior path is still life company, CMBS, bank, agency, or bridge, depending on the asset.
Nothing here is a rate, a promote split, or a promise of proceeds. The calculator sizes senior debt from inputs you type. It does not price mezzanine. The lender-type table shows where this layer sits relative to senior types, without coupons.
Mezzanine debt, in plain terms
The mezzanine lender is usually paid a current coupon, and sometimes an exit fee, from cash flow left after the senior debt service. If that cash flow is thin, the coupon may accrue. Accrual is not free money. It compounds into the payoff and can wipe out common equity if the business plan slips.
Remedies typically include taking the pledged equity under the UCC, which can change control of the property owner faster than a mortgage foreclosure. Sponsors should read that with counsel. This page is not legal advice, and Capital Market Funds is not a law firm.
The senior loan agreement often caps subordinate debt, requires a standby, or forbids additional liens. A mezzanine pledge can violate those clauses if the senior consent is skipped. The arranger's job is to put the two capital partners in a structure both will sign, not to hide one from the other.
Preferred equity is not the same instrument
Preferred equity is a slice of the ownership. It usually has a priority on distributions up to a stated yield, and sometimes a share of residual. It may have forced-sale or management-takeover rights if the yield is missed. Those rights live in the operating agreement, which the senior lender may also need to review.
Sponsors sometimes prefer preferred equity because a mortgage lender's documents ban mezzanine debt but stay quieter on an internal equity split. Quieter is not the same as allowed. The senior lender's transfer and organizational-document covenants still apply.
Capital Market Funds does not act as the preferred investor. If a capital partner is interested, the partner's counsel and the sponsor's counsel paper the equity. Our work is introducing a fit and keeping the senior loan and the equity story consistent.
When this layer is the wrong tool
If the senior loan can simply be larger, adding a second layer adds cost, consent risk, and another set of reporting. If the property is transitional, a bridge loan sized to the plan is often cleaner than a permanent senior loan plus mezzanine on in-place cash flow that is not there yet.
Owner-occupied businesses looking for high leverage on a building they use should look at SBA 504 or a bank first mortgage before they look at mezzanine. Mezzanine and preferred equity on this page are real-estate capital-stack tools for investment property, arranged, not funded, by this desk.
We do not rank mezzanine providers, and we do not publish a list of preferred-equity funds. A sponsor who wants that directory is asking for a different product than an arranged financing file.
Questions on the subordinate layer
- Does Capital Market Funds lend mezzanine money or buy preferred equity?
- No. Both are arranged through capital partners. The firm is not the mezzanine lender and not the preferred investor.
- Can the calculator on this site price a mezzanine coupon?
- No. The rates and calculator page sizes senior debt from numbers you type. It does not produce a mezzanine quote.
